Coca-Cola beverage products representing Hindustan Coca-Cola Holdings’ Indian bottling business and proposed IPO.

Hindustan Coca-Cola Holdings moves towards a proposed public listing in India.

Hindustan Coca-Cola Holdings Files Draft Papers for $1.2 Billion IPO

The proposed all-offer-for-sale listing could reduce Coca-Cola’s stake in its Indian bottling business from 60% to about 45%, with the shares expected to debut on Indian exchanges in 2027.

Hindustan Coca-Cola Holdings has taken a formal step towards listing its Indian bottling business by filing a draft red herring prospectus with the market regulator for a proposed initial public offering (IPO).

The offering is structured entirely as an offer for sale (OFS), through which promoter Hindustan Coca-Cola Overseas Holdings plans to sell up to 99.75 crore equity shares with a face value of Rs10 each.

The company will not issue new shares or receive any proceeds from the transaction, as all funds raised will go to the selling shareholder.

Coca-Cola Plans to Reduce Its Stake

The Coca-Cola Company currently owns 60% of Hindustan Coca-Cola Holdings through its Singapore-based entity. Following the proposed share sale, its ownership is expected to decline to approximately 45%.

Jubilant Beverages, which holds the remaining 40% stake, will not participate in the offering and plans to retain its entire holding.

Tesla Cybertruck Production to Slow in 2027 as Sales Fall Short of Targets

The proposed listing follows the sale of a 40% interest to the Jubilant Bhartia Group in 2025. It also aligns with Coca-Cola’s broader strategy of adopting a more asset-light business model.

India remains among Coca-Cola’s five largest markets globally by sales volume.

India’s Largest Coca-Cola Bottler Reports Mixed Performance

Hindustan Coca-Cola Holdings operates through its subsidiary, Hindustan Coca-Cola Beverages. It is the largest bottler in the Coca-Cola system in India based on concentrate units sold.

The business also ranked as the country’s largest non-alcoholic ready-to-drink company by revenue among operators working exclusively in India during the previous financial year.

For the year ended March 2026, the company reported revenue of Rs115.49 billion, down 9.4%. The decline largely reflected the transfer of certain territories to other bottlers under its refranchising programme.

However, revenue from retained operations increased 20.46% year-on-year to Rs4,310 crore in the April-June quarter of 2026. Volumes also grew 18.61% during the period.

Extensive Manufacturing and Distribution Network

The company operates 14 production facilities and eight co-pack units across its network. It serves approximately 1.7 million retail outlets in 10 states and four Union Territories.

The proposed shares are expected to list on both the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE), with the offering targeted for 2027.

Industry estimates suggest the IPO could raise around $1 billion at a valuation of approximately $10 billion. However, the company has not disclosed a price band.

Seven Investment Banks Manage IPO

Seven book-running lead managers are overseeing the proposed offering.

The group includes Kotak Mahindra Capital, Citigroup, J.P. Morgan, Morgan Stanley, Axis Capital, Goldman Sachs and IIFL Capital.

The listing would provide investors with an opportunity to buy shares in one of India’s largest beverage bottling businesses, while allowing Coca-Cola to reduce its direct ownership in the operation.
